1. Acceptance of Terms
By accessing or using our website and services (the “Services”), you agree to be bound by these Terms & Conditions and our Privacy Policy. If you do not agree, please do not use or access the Services.
2. Description of Services
We offer three core services:
2.1 Strategy Consulting (the “Consulting Services”)
2.2 Workflow Automations integrated into your internal systems (the “Automation Services”)
2.3 AI Agents deployed on your website to interact with your end‑users (the “Agent Services”)
3. Client Responsibilities
3.1 You represent and warrant that you have the authority to integrate our Automations with your systems.
3.2 You agree to provide accurate information and timely cooperation as reasonably required for performance.
3.3 You are responsible for all activity under any user accounts you create.
4. Fees and Payment
4.1 All fees are quoted in Canadian or U.S. dollars and invoiced in advance or upon milestone completion, as agreed in writing.
4.2 Payment is due within fifteen (15) days of the invoice date. Late payments will incur interest at 1.5% per month.
4.3 Except as expressly set out in writing, all fees are non‑refundable.
5. Intellectual Property
5.1 We retain all intellectual property rights in our methodologies, code, designs, documentation, and any other deliverables.
5.2 Upon full payment, you receive a non‑exclusive, non‑transferable license to use deliverables for your internal business purposes only.
6. Confidentiality
Each party agrees to maintain the confidentiality of all non‑public information disclosed by the other (“Confidential Information”) and not to use or disclose it except to perform its obligations under these Terms.
7. Warranties and Disclaimers
7.1 We warrant that Services will be performed in a professional and workmanlike manner.
7.2 EXCEPT AS EXPRESSLY PROVIDED, ALL SERVICES AND DELIVERABLES ARE PROVIDED “AS IS,” WITHOUT ANY OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
8. Limitation of Liability
To the maximum extent permitted by law, our aggregate liability arising out of or related to these Terms will not exceed the total fees paid by you to us in the twelve (12) months preceding the claim. We shall not be liable for any indirect, incidental, special, or consequential damages.
9. Indemnification
You agree to indemnify, defend, and hold us harmless from any third‑party claims, liabilities, losses, or expenses arising from your misuse of the Services or your breach of these Terms.
10. Term and Termination
10.1 These Terms commence on the Effective Date and continue until terminated.
10.2 Either party may terminate on thirty (30) days’ prior written notice.
10.3 Upon termination, you will pay all outstanding fees, and we may disable your access to the Services.
11. Changes to Terms
We may modify these Terms at any time by posting a revised version on our website. Your continued use after notification constitutes acceptance.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of Ontario, Canada. Any dispute will be resolved by confidential arbitration in Toronto under the Arbitration Act (Ontario).
